Terms of Service

1. Services Agreement

By accessing or using the services of Leads11 Agency ("Leads11," "we," "us"), you agree to be bound by these Terms of Service.

2. Intellectual Property & Code Ownership

Leads11 offers more than one engagement model, and IP ownership depends on which one applies to your project, as set out in your Statement of Work (SOW):

• Full Ownership Build: Upon receipt of full payment for contracted milestones, the client receives 100% full IP ownership of all custom codebase, repository access, and design assets engineered for the project.
• Leads11-Hosted Infrastructure: For projects launched under Leads11-managed infrastructure (e.g., a subdomain of leads11.xyz), the client receives full administrative access to operate the platform, but underlying codebase and platform IP remain the property of Leads11 unless full ownership is separately purchased and transferred, as set out in the applicable SOW.
• Monthly Scale Retainer: For projects under an ongoing monthly development retainer, IP ownership terms are defined per the retainer agreement and are typically retained by the client throughout, subject to continued payment.

Your SOW or proposal always states which model applies. If it doesn't, ask before assuming.

3. Payment & Milestone Schedules

Services are rendered on fixed-price milestone schedules or monthly retainer agreements as outlined in individual Statements of Work (SOW).

4. Confidentiality

Both parties agree to hold all proprietary and confidential information received from the other party in strict confidence and to use it solely for the purpose of the engagement.

5. Case Study & Publicity Rights

We proudly showcase our best work. Founding Cohort clients and standard engagements may be asked for public case-study usage; however, this requires separate, explicit written consent and is not automatic. We will never publish your proprietary metrics without permission.

6. Limitation of Liability

To the maximum extent permitted by law, Leads11 Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from the use of our services or deliverables.
